Sales and Office Terms for Technical Trade
We adhere to the General Sales Terms of Technical Trade (TK General 2010) and the General Terms of Delivery for Technical Trade Services (TK Services 2010).
Force majeure
The parties have the right to demand the fulfillment of the agreement. However, the seller/supplier is not obligated to fulfill the agreement according to its terms if there is an obstacle that the seller/supplier cannot overcome, or if fulfilling the agreement would require sacrifices that are unreasonable compared to the benefit the buyer/customer would gain from the seller/supplier fulfilling the agreement (“force majeure”).
The buyer/customer is not entitled to compensation for damages incurred due to the seller’s/supplier’s delay if the delay is caused by a force majeure circumstance.
A force majeure circumstance also includes the coronavirus epidemic prevailing at the time of the agreement, if it hinders the seller’s/supplier’s ability to fulfill the agreement according to its terms. The seller/supplier has the right to adjust delivery times due to delivery difficulties and/or obstacles caused by the coronavirus epidemic, provided that the seller/supplier notifies the buyer/customer of such difficulty or obstacle and the new delivery time as soon as they become aware of it.
